OUR OPINION WAS GIVEN THIS WEEK THAT IT HAD IMPLICATIONS ON SCHOOL START AND POSSIBLY FUNDING FOR FOR SCHOOL, FOR SCHOOL ATTENDANCE AND ADA. AND SO WE WANTED TO MAKE SURE THAT WE HAD A GOOD UNDERSTANDING THAT YOU ALL HAD A GOOD UNDERSTANDING OF KIND OF WHAT WAS DECIDED. WHAT I CAN TELL YOU IS THAT IS THAT THE DECISION THAT WE'VE MADE IN THE PAST AND THE PLANS THAT WE HAVE HAD IN PLACE DEFINITELY ARE PLANS THAT WE ALL FEEL STRONG ABOUT. WE FEEL LIKE THE BASIS AND THE FOUNDATION ON WHICH WE MADE THOSE DECISIONS. NUMBER ONE WAS STUDENT AND FACULTY SAFETY. WE FEEL LIKE THE FACT IS THAT THAT THAT REALLY, REALLY LED TO THE DECISION. THOSE FACTORS HAVEN'T CHANGED. IN SOME CASES, THEY'VE GOTTEN WORSE. AND SO WHAT WE KNOW IS THAT THE DECISIONS WE MADE ARE ABSOLUTELY THE RIGHT DECISION. INITIALLY, THERE WAS SOME QUESTION ABOUT WHETHER LOCAL HEALTH AUTHORITIES WOULD ALLOW COULD RENDER AN ORDER TO CLOSE SCHOOL DISTRICTS. AND INITIALLY, THE TASB STATED THAT IF THERE WERE SUCH ORDERS IN EXISTENCE IN A COUNTY, THAT THE SCHOOL DISTRICTS COULD RELY UPON SUCH ORDERS AND CLOSE AND THEY WOULD STILL GET THEIR ADA DOLLARS. BUT RECENTLY, KEN PAXTON ISSUED A AG'S OPINION, ESSENTIALLY NEGATING THAT REASONING AND BASICALLY SAID THAT IF SCHOOL DISTRICTS DON'T OPEN, THEN, WELL, ACTUALLY, ESSENTIALLY [00:10:06] THAT THE LEGAL HEALTH AUTHORITIES, THEY DO NOT HAVE THE ABILITY TO MAKE SUCH A BLANKET PROPHYLACTIC ORDER PROPHYLACTIC, MEANING THAT IN ORDER TO PREVENT HEALTH TO ENSURE HEALTH AND SAFETY OF A SCHOOL DISTRICT, THEY SAID IT WAS ACTUALLY TOO BROAD. AND SO ESSENTIALLY THAT THAT THE HEALTH AUTHORITIES ONLY ARE ABLE TO ACT WHEN THERE IS A CURRENT CRISIS IN PLACE. SO TO PRESENT AN ORDER THAT'S BROAD, THAT WOULD BE A BLANKET ORDER SAYING THAT SCHOOLS CANNOT OPEN TO PREVENT DISEASE WAS OUT OF THE SCOPE OF THE LOCAL HEALTH AUTHORITIES. AND BECAUSE OF THAT, THEY SAID THAT ANY SCHOOL DISTRICT THAT DID NOT OPEN OR AT LEAST PROVIDED OF AN OPTION FOR INDIVIDUAL FOR SCHOOL DISTRICTS TO HAVE ON CAMPUS LEARNING THAT THEY WOULD LOSE EIGHTY DOLLARS. AND SO THE AND SO THE TEA THEN ACCEPTED THIS REASONING AS AND DECIDED TO ALSO ENFORCE IT AS PART OF THEIR GUIDANCE. AND SO THEY BASICALLY STATED THAT IF A SCHOOL DISTRICT FAILS TO OFFER AN ON CAMPUS OPTION, THAT THEY WOULD LOSE ADA DOLLARS, BUT THEY ARE ALLOWING A TRANSITION PERIOD IN THAT TRANSITION PERIOD WOULD BE FOUR WEEKS. AND THEY WILL ALLOW THE SCHOOL DISTRICTS TO OPEN FOUR WEEKS LATE AND THEN THEY CAN ALSO HAVE FOUR WEEKS OF ONLINE TRAINING UNTIL THEY'RE ABLE TO OPEN UP ON CAMPUS. AND SO THAT MEANS THAT YOU WOULD HAVE TO OFFICIALLY HAVE ADOPTED IN YOUR SCHEDULE THAT WE'VE CHANGED OUR SCHEDULE. WE HAVE VOTED TO CHANGE OUR SCHEDULE OFFICIALLY AND THEN WE CAN. FROM FOUR WEEKS FROM THAT OFFICIAL START DATE, WE CAN HAVE ONLINE TRAINING AND THEN IF THERE ARE ANY EXTENUATING CIRCUMSTANCES, IF WE WANT TO EXTEND IT FOR ADDITIONAL FOUR WEEKS, WE COULD. BUT THIS IS A CHANCE TO TO BENEFIT FROM THOSE LOW RATES IF WE FLIP TO THE NEXT NEXT SLIDE. I WON'T GO THROUGH ALL OF THIS IN DETAIL. BASICALLY, THESE ARE THE CONSIDERATIONS OF DOING WHAT WE CALL A TAXABLE REFUNDING. YOU KNOW, NORMALLY WE LOOK AT TAX EXEMPT REFUNDS, MEANING INTEREST RATES ARE TAX EXEMPT. THIS IS ACTUALLY TAXABLE. BUT INTEREST RATES ARE SO LOW RIGHT NOW THAT EVEN DOING A TAXABLE REFUNDING GENERATES A SIGNIFICANT AMOUNT OF SAVINGS. AND THEY'RE AT THE TOP. YOU COULD SEE THE 10 YEAR TREASURY RATE ON MONDAY WAS EIGHT POINT SIX TWO PERCENT. IT ACTUALLY CLOSED AT POINT FIVE FIVE TODAY. SO IT'S DOWN EVEN A LITTLE BIT MORE THE NEXT BULLET THINGS ARE VERY VOLATILE. HOWEVER, ANY TIME ANY NEWS RELATED PANDEMIC COMES OUT, A LOT OF TIMES YOU SEE THE RATES IN THE STOCK MARKET KIND OF BOUNCING AROUND. IF WE DECIDE TO DO THE REFUNDING, THERE'S A POSSIBILITY THAT THE SCENARIO ITSELF COULD CHANGE A LITTLE BIT VERSUS WHAT WHAT I'M GOING TO SHOW YOU THIS EVENING BASED ON WHERE RATES ARE AT THE TIME WE PRICE AND IN THE NEXT DAY, I DID WANT TO KIND OF SPEND JUST A SECOND ON BACK IN TWO THOUSAND EIGHT TWENTY SEVENTEEN TAX REFORM WAS PASSED AND THEY DID NOT ALLOW US ANY LONGER TO DO ONE TAX EXEMPT, WHAT WE CALL IT REFUNDING, WHICH MEANS WE'RE MORE THAN 90 DAYS FROM A CALL DATE THEY'RE TALKING ABOUT FOR REINSTATING THAT. SO I JUST WANT TO POINT THAT OUT. I DON'T KNOW IF IT'S GOING TO HAPPEN, BUT IF IT DOES, FOLKS BELIEVE IT WOULD BE AFTER THE NOVEMBER ELECTION. IT WOULD ONLY IMPACT A VERY SMALL PORTION OF THIS REFUNDING. HOWEVER, IN MY OPINION, I DON'T THINK WE SHOULD PLAN ON THAT HAPPENING OR EXPECT IT TO HAPPEN. THEREFORE, WE SHOULD PROBABLY LOOK AT THIS SCENARIO TO INCLUDE THAT TWO THOUSAND FIFTEEN AMOUNT THAT I THAT I SHOW THERE TO TWENTY FIVE MILLION FIVE FORTY. AND I'LL SHOW YOU THE OVERALL REFUNDING IN JUST A SECOND, BECAUSE RATES ARE SO LOW. WE DO HAVE WHAT WE CALL NEGATIVE ARBITRAGE BECAUSE OUR ESCROW ACCOUNT ISN'T EARNING MUCH MONEY. HOWEVER, AS YOU'LL SEE IN A SECOND, THE SAVINGS IS IS EXTREMELY HIGH IN SPITE OF THAT. AND THEN LASTLY, I AM STRUCTURING THE SAVINGS ON THIS TO MAXIMIZE THE CAPACITY THE DISTRICT WOULD HAVE FOR A FUTURE AUTHORIZATION OR BOND ELECTION. WE CAN GO TO THE NEXT SLIDE. WHAT THIS IS MEANT TO SHOW IS ONCE AGAIN JUST HOW HISTORICALLY LOW RATES ARE THERE. AT THE TOP ON THE HORIZONTAL AXIS, WE HAVE THE ONE, TWO, THREE ALL THE WAY UP TO 30 YEAR TREASURY, THE INTEREST RATES THAT ARE OVER THERE ON THE VERTICAL AXIS. AND IT JUST SHOWS THE TOP TO BOTTOM RANGE OF RATES OVER THE LAST 10 YEARS, OVER THE LAST TWO YEARS, TWO AND A HALF YEARS, AND THEN CURRENTLY. AND SO IF YOU LOOK AT THAT LIGHT BLUE LINE WITH THE DOTS, YOU SEE IT AT THE VERY BOTTOM OF THAT RANGE. SO TAXABLE RATES ARE AT THE LOWEST LEVELS THEY'VE BEEN OVER THE LAST 12 YEARS. AND EVEN FURTHER BACK THAN THAT IN THOSE TWO AT THE BOTTOM ALSO SHOW WHAT THE TREASURY YIELD CURVE IS LOOK LIKE NOW VERSUS SIX MONTHS AGO VERSUS 12 MONTHS AGO. AND THEN LASTLY, IT BREAKS IT DOWN JUST TO THE FIVE YEAR, 10 YEAR AND 30 YEAR CONTRACT WITH THOSE RATES HAVE BEEN SINCE 2008. AND ONCE AGAIN, OBVIOUSLY AT THE LOWEST LEVELS WE'VE SEEN. NEXT SLIDE, HERE'S THE REFUNDING, I KNOW THERE'S A LOT OF NUMBERS HERE, BUT JUST FOR A SECOND, IF WE CAN FOCUS ON COLUMN SEVEN, THIS WOULD BE THE POTENTIAL SAVINGS FROM THE REFUNDING USING INTEREST RATES AS OF LAST FRIDAY PLUS 10 BASIS POINTS, RATES HAVE COME DOWN A LITTLE BIT. SO THIS IS PROBABLY GOT 15 BASIS POINTS OF CUSHION IN IT RIGHT NOW. BUT IN COLUMN SEVEN, YOU COULD SEE WE'D BE LOOKING AT A MILLION DOLLARS IN SAVINGS FROM 22 THROUGH TWO THOUSAND THIRTY NINE. THE REASON I DROPPED OFF SAVINGS IN THE YEARS AFTER TWO THOUSAND THIRTY NINE IS THAT THE DISTRICT'S DEBT SERVICE DROPS BY SEVEN MILLION DOLLARS FROM TWO THOUSAND THIRTY NINE TO 2040. SO WE REALLY DON'T NEED A LOT OF SAVINGS AFTER TWO THOUSAND THIRTY NINE. BUT IF YOU LOOK AT THAT MILLION DOLLARS IN SAVINGS PER YEAR AND YOU THINK ABOUT A FOUR PERCENT BORROWING INTEREST RATE, THAT MILLION DOLLARS IN SAVINGS WOULD SUPPORT AN INTEREST PAYMENT ON A TWENTY FIVE DOLLARS MILLION ISSUE. SO IN ESSENCE, THIS REFUNDING HAS THE ABILITY TO INCREASE THE DISTRICT'S BORROWING CAPACITY BY TWENTY FIVE MILLION DOLLARS, WHICH IS WHICH IS VERY SUBSTANTIAL AT THE TOP SECTION, AT THE VERY BOTTOM, RIGHT IN THE LIGHT BLUE WITH RED FONT, THE PB SAVINGS AS A PERCENTAGE OF REFUNDED PRINCIPAL. THAT'S THE BENCHMARK THAT WE USE TO KIND OF DETERMINE THE VIABILITY OF A REFINANCING. THEY SAY IF IT'S ANYTHING, OVER FOUR PERCENT IS WORTHY OF CONSIDERATION. IN THIS INSTANCE, WE'RE A LITTLE BIT ABOVE 10, SO THAT'S A SUBSTANTIAL AMOUNT OF SAVINGS. AND IF WE LOOK TO THE NEXT SLIDE, THESE ARE ALL THE ISSUES THAT AND THE MATURITIES THAT WE WOULD LOOK AT REFUNDING, AS WELL AS THE INTEREST RATES ON THOSE BONDS AND THE CALL DATES AS WELL. TWENTY FIFTEEN. ONCE AGAIN, WE'RE ONLY ALLOWED TO BE ADVANCED REFUNDED IF THE LAW CHANGED, WHICH WHICH WE [00:45:02] JUST DON'T KNOW WILL HAPPEN, WHICH IS WHY I DON'T THINK WE SHOULD NECESSARILY PULL IT OUT IN HOPES THAT IT WILL, BECAUSE ALSO TAX RATES ARE AT LEVELS THAT ARE LOWER THAN TAX EXEMPT RATES NORMALLY ARE. SO. AND THEN LASTLY, ONCE AGAIN, WE COULD DOWNSIZE THE ISSUANCE ON THE DAY OF PRICING IF NEEDED IN ORDER TO MAXIMIZE SAVINGS. EXCELLENT. AND THEN ON THIS SIDE, I'VE PUT THE PROPOSED PARAMETERS THAT WOULD BE INCLUDED IN THE BOND ORDER, THE MAIN ONE IS THAT SAVINGS PARAMETER. I'M USING EIGHT PERCENT. IF WE WANTED TO LOWER IT A LITTLE BIT, WE COULD TO GIVE US MORE FLEXIBILITY. BUT RIGHT NOW WE'RE AT 10 WITH A LITTLE BIT OF CUSHION IN THERE. I WOULD HOPE THAT WE COULD ACHIEVE EIGHT. MORE IMPORTANTLY, THE SECOND BULLET, THEY WERE NOT GOING TO INCREASE THE AMOUNT OF PRINCIPAL BEING ISSUED VERSUS WHAT'S BEING REFUNDED. AND THEN IN THE SECOND THE LAST BULLET THERE WERE NOT GOING TO EXTEND THE TERM. SO WE WOULD BE REFINANCING OVER THE EXISTING TERM AND JUST BE SAVING AS A RESULT, INTEREST DOLLARS AS A RESULT OF THE LOW INTEREST RATES. SO I KNOW I FLEW THROUGH THAT PRETTY QUICKLY.
